NO PURCHASE IS NECESSARY TO ENTER OR WIN A SWEEPSTAKES PRIZE. PURCHASE WILL NOT INCREASE YOUR CHANCES TO WIN. BY PARTICIPATING IN THIS SWEEPSTAKES, YOU FULLY AND UNCONDITIONALLY AGREE TO THESE OFFICIAL RULES AND THE DECISIONS OF INTERCAMBIO EXPRESS, INC. IN ALL MATTERS RELATING TO THIS SWEEPSTAKES.

SWEEPSTAKES PERIOD:

The Sweepstakes The draw begins at 7:00 a.m. on February 14, 2026, and ends at 23:59 p.m. on February 28, 2026.

HOW TO ENTER:

Visit any TEC location and submit your entry into the sweepstakes. Entry into the sweepstakes is free. One entry per person per day is allowed. Entries generated by automatic means or practices will be void. All entries must be submitted by 11:59 p.m. on January 5 to be valid. All entries become the property of Torres Enterprises Corp. and will not be returned. TEC reserves the right to verify any information provided by you in connection with your entry and to disqualify any entrant whose entry violates these Official Rules.

PUBLICITY AND MARKETING:

When you enter, we collect personally identifying information from you such as your name, mailing address, email address and phone number. Your name may be included in TEC database. By submitting an entry, you agree to TEC contacting you and providing you information and materials regarding this Sweepstakes and other offers, promotions or materials that it believes may be of interest to you. If you do not wish to share your personally identifying information, please do not enter this Sweepstakes.

Submission of an entry in the Sweepstakes constitutes permission to use your name, identity, appearance, physical likeness, image, portrait, picture, photograph (whether still or moving), screen persona, voice, statements, mannerisms, biographical data, signature, social media handles and identities, and any other indicia or imitation of identity or likeness for purposes of advertising and trade, in any medium, without further notice, approval, or compensation, unless prohibited by law.

ELIGIBILITY:

This Sweepstakes is open to legal residents of Arizona, California, Indiana, Nevada, New Jersey, Oklahoma, Texas and Utah, twenty-one (21) years of age or older. Void wherever prohibited by law. Employees of TEC and its parents, agents, affiliates, subsidiaries, and their immediate family members, household members (regardless of relationship) are not eligible to enter and/or win this Sweepstakes.

WINNER SELECTION/DRAWING:

On or about November 27th, 2025, TEC will conduct random drawings from all eligible entries received and select two potential winners. The odds of winning depend upon the number of eligible entries received.

WINNER NOTIFICATION AND RELEASES:

Potential winners will be notified via email, phone, or mail and if eligible (as described herein), must retrieve the prize within thirty (30) days of notification. If a potential winner: (a) is not in compliance with these Rules, (b) does not meet the eligibility requirements, (c) declines the prize, or (d) does not sign and return required documents or provide required identification by deadlines established by TEC, he or she will be disqualified. Each potential winner may be required, in TEC’s sole discretion, to complete and return an Affidavit of Eligibility & Liability/Publicity Release and a scan or photo of legal ID and also to have any companion(s) who will participate in the prize activities, if applicable, return the same documentation before claiming the prize or being allowed to participate in any prize activities. All forms must be postmarked within ten (10) days of the date on notification materials if return is requested via mail or forms must be completed before receipt of any prize if prizes are picked up in person.

PRIZES:

Pantry goods, gift cards, grills and others, each of which have values of up to $30 USD – $300 USD. Actual kind and value of the prizes vary. TEC reserves the right to substitute prizes of equal or greater value.

Federal, state, and local taxes on prizes, and any other costs, fees and expenses not listed above as specifically included as part of the prize are the sole responsibility of winner. An IRS form 1099 and other tax-related forms and documents may be issued by TEC if required by law.

NO WARRANTIES:

By entering the Sweepstakes, you acknowledge that any and all prizes awarded are awarded and provided ‘AS-IS’ without warranty of any kind. Released Parties make no warranties, whether express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, legal compliance with applicable laws, or non-infringement as to any Sweepstakes prize.

LIABILITY RELEASE & INDEMNIFICATION:

By entering this Sweepstakes, you agree to release, discharge and hold harmless Torres Enterprises Corp., and all vendors or other entities that are, in any way, a part, or the subject, of this Sweepstakes, and their respective parents, affiliates, and subsidiaries and all of their directors, officers, employees, agents and assigns (the “Released Parties”) from any claims, losses, and damages arising out of, or relating to, your participation in this Sweepstakes or any Sweepstakes-related activities (including, without limitation, any event attended as part of a prize) and the acceptance and use, misuse, or possession of any prize awarded hereunder (including, without limitation, any misrepresentation made in connection with the Sweepstakes; any non-compliance with these Official Sweepstakes Rules; claims brought by persons or entities other than the parties to these Official Rules arising from or related to any entrant’s involvement with the Sweepstakes; acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes; any malfunction, error or other problem arising in connection with the collection, processing, or retention of entry information; or any typographical or other error in the printing, offering or announcement of any prize or winner). The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Sweepstakes.

OTHER TERMS:

Released Parties are not responsible for any typographical or other error in the printing, the offering or the announcement of any prize or in the administration of the Sweepstakes, whether caused by computer, technical or human error. Released Parties are not responsible for late, lost, damaged, incomplete, illegible, faulty, or incorrect entries, incorrect announcements of any kind, technical hardware or software failures of any kind, lost or unavailable network connections, or operational issues that may limit the ability to participate in the Sweepstakes whether caused by computer, technical or human error. TEC reserves the right to modify the Sweepstakes or any portion of it for any reason, including but not limited to, if fraud, misconduct or technical or other operational failures destroy the integrity of the Sweepstakes; or if a computer virus, bug, wireless failure, or other technical or operational problem corrupts the administration, security, or proper administration of the Sweepstakes as determined by TEC, in its sole discretion. TEC reserves the right to disqualify, freeze or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules. TEC reserves the right to disqualify any individual from further participation in the Sweepstakes if TEC concludes, in its sole discretion, that such person: (a) has attempted to tamper with the entry process or other operation of the Sweepstakes; (b) has disregarded or has attempted to circumvent these Official Rules; (c) has committed fraud or attempted to undermine the legitimate operation of the Sweepstakes; or (d) has acted toward Released Parties, affiliates, or any other entrant in an unfair, inequitable, annoying, threatening, disrupting or harassing manner. Any attempt to undermine the operation of this Sweepstakes may be a violation of criminal and civil laws. TEC reserves the right to disqualify and/or seek damages from any individual making any such attempts to the full extent permitted by law. Any failure by TEC to enforce any of these Official Rules will not constitute a waiver of such Official Rules. If there is a conflict between any term of the Official Rules and any marketing or entry materials used in connection with the Sweepstakes, the terms of these Official Rules will govern.

ARBITRATION:

Except as where prohibited by law, as a condition of participating in this Sweepstakes, you agree that: (1) any disputes, claims, and causes of action arising out of, or in connection to, this Sweepstakes, or the prize(s) awarded, shall be resolved individually, without resort to any form of class or mass action, and exclusivity via final and binding arbitration under the rules of the American Arbitration Association; (2) any such matter shall be heard by a single arbitrator or a panel of arbitrators and shall be brought in the state of Indiana; (3) the Federal Arbitration Act shall govern any such proceedings and judgment may be entered in any Court having jurisdiction; (4) under no circumstances shall you be permitted to obtain punitive, incidental or consequential damages, attorney’s fees or any other damages, other than for out-of-pocket expenses strictly associated with participating in this Sweepstakes; and (5) you waive all rights to the aforementioned damages and all rights to having any such damages multiplied or increased.

SEVERABILITY:

If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

Visite cualquier establecimiento de TEC y envíe su participación en el sorteo. La participación en el sorteo es gratuita. Se permite una participación por persona y día. Las participaciones generadas por medios o prácticas automáticos serán nulas. Todas las inscripciones deben enviarse antes de las 11:59 p. m. del 5 de enero para que sean válidas. Todas las inscripciones pasan a ser propiedad de Torres Enterprises Corp. y no serán devueltas. PUBLICIDAD Y MARKETING:

El envío de una participación en el Sorteo constituye el permiso para utilizar su nombre, identidad, apariencia, semejanza física, imagen, retrato, fotografía (ya sea fija o en movimiento), personaje en pantalla, voz, declaraciones, gestos, datos biográficos, firma, nombres de usuario e identidades en redes sociales, y cualquier otro indicio o imitación de identidad o semejanza con fines publicitarios y comerciales, en cualquier medio, sin previo aviso, aprobación o compensación, a menos que lo prohíba la ley.

REQUISITOS DE ELEGIBILIDAD:

Este sorteo está abierto a residentes legales de Arizona, California, Indiana, Nevada, Nueva Jersey, Oklahoma, Texas y Utah, mayores de veintiún (21) años. Nulo donde lo prohíba la ley. Los empleados de TEC y sus matrices, agentes, filiales, subsidiarias y sus familiares directos, miembros del hogar (independientemente de su relación) no son elegibles para participar y/o ganar este sorteo.

SELECCIÓN DE GANADORES/SORTEO:

Alrededor del 15 de junio de 2025, TEC realizará un sorteo aleatorio entre todas las participaciones válidas recibidas y seleccionará dos posibles ganadores. Las probabilidades de ganar dependen del número de participaciones válidas recibidas.

NOTIFICACIÓN A LOS GANADORES Y AUTORIZACIONES:

Los posibles ganadores serán notificados por correo electrónico, teléfono o correo postal y, si cumplen los requisitos (tal y como se describe en el presente documento), deberán recoger el premio en un plazo de treinta (30) días a partir de la notificación. Si un ganador potencial: (a) no cumple con estas Reglas, (b) no cumple con los requisitos de elegibilidad, (c) rechaza el premio, o (d) no firma y devuelve los documentos requeridos o no proporciona la identificación requerida dentro de los plazos establecidos por TEC, será descalificado. TEC, a su entera discreción, podrá exigir a cada ganador potencial que complete y devuelva una Declaración jurada de elegibilidad y exención de responsabilidad/publicidad y una copia escaneada o una foto de su documento de identidad legal, y que cualquier acompañante que participe en las actividades del premio, si procede, devuelva la misma documentación antes de reclamar el premio o de poder participar en cualquier actividad del premio. Todos los formularios deben tener un matasellos con una fecha dentro de los diez (10) días siguientes a la fecha que figura en los materiales de notificación si se solicita la devolución por correo, o deben completarse antes de la recepción de cualquier premio si los premios se recogen en persona.

PRECIOS:

Televisores, parrillas y otros, cada uno con un valor de hasta 30 dólares estadounidenses y 300 dólares estadounidenses, respectivamente. El tipo y el valor reales de los premios pueden variar. TEC se reserva el derecho de sustituir los premios por otros de igual o mayor valor.

Los impuestos federales, estatales y locales sobre los premios, así como cualquier otro coste, tasa y gasto no incluido específicamente en la lista anterior como parte del premio, serán responsabilidad exclusiva del ganador. TEC podrá emitir el formulario 1099 del IRS y otros formularios y documentos relacionados con los impuestos si así lo exige la ley.

SIN GARANTÍAS:

Al participar en el Sorteo, usted reconoce que todos y cada uno de los premios otorgados se otorgan y proporcionan «TAL CUAL», sin garantía de ningún tipo. Las Partes exoneradas no ofrecen garantía alguna, ya sea expresa o implícita, incluyendo, entre otras, garantías implícitas de comerciabilidad, idoneidad para un fin determinado, cumplimiento legal de las leyes aplicables o no infracción en relación con cualquier premio del Sorteo..

EXENCIÓN DE RESPONSABILIDAD E INDEMNIZACIÓN:

Al participar en este sorteo, usted acepta eximir de responsabilidad a Torres Enterprises Corp. y Elektra, así como a todos los proveedores u otras entidades que, de alguna manera, formen parte o sean objeto de este sorteo, y a sus respectivas matrices, filiales y subsidiarias, y a todos sus directores, funcionarios, empleados, agentes y cesionarios (las «Partes exoneradas») de cualquier reclamación, pérdidas y daños que surjan de, o estén relacionados con, su participación en este Sorteo o en cualquier actividad relacionada con el mismo (incluyendo, sin limitación, cualquier evento al que se asista como parte de un premio) y la aceptación y uso, mal uso o posesión de cualquier premio otorgado en virtud del presente (incluyendo, sin limitación, cualquier tergiversación realizada en relación con el Sorteo; cualquier incumplimiento de estas Reglas Oficiales del Sorteo; reclamaciones presentadas por personas o entidades distintas de las partes de estas Reglas Oficiales que surjan o estén relacionadas con la participación de cualquier participante en el Sorteo; la aceptación, posesión, uso indebido o uso de cualquier premio o participación en cualquier actividad relacionada con el Sorteo o participación en este Sorteo; cualquier mal funcionamiento, error u otro problema que surja en relación con la recopilación, el procesamiento o la retención de la información de participación; o cualquier error tipográfico o de otro tipo en la impresión, la oferta o el anuncio de cualquier premio o ganador). Lo anterior incluye, sin limitación, cualquier reclamación por lesiones personales, pérdida o daños a la propiedad, o muerte que surja de cualquier manera en relación con el Sorteo.

OTROS TERMINOS:

Las Partes exoneradas no se hacen responsables de ningún error tipográfico o de otro tipo en la impresión, la oferta o el anuncio de cualquier premio o en la administración del Sorteo, ya sea causado por un error informático, técnico o humano. Las Partes exoneradas no se hacen responsables de las inscripciones tardías, perdidas, dañadas, incompletas, ilegibles, defectuosas o incorrectas, los anuncios incorrectos de cualquier tipo, los fallos técnicos de hardware o software de cualquier tipo, las conexiones de red perdidas o no disponibles, o los problemas operativos que puedan limitar la capacidad de participar en el Sorteo, ya sean causados por errores informáticos, técnicos o humanos. TEC se reserva el derecho de modificar el Sorteo o cualquier parte del mismo por cualquier motivo, incluyendo, entre otros, si el fraude, la mala conducta o fallos técnicos u operativos destruyen la integridad del Sorteo; o si un virus informático, un error, un fallo inalámbrico u otro problema técnico u operativo corrompe la administración, la seguridad o la correcta gestión del Sorteo, según lo determine TEC, a su entera discreción. TEC se reserva el derecho de descalificar, suspender o prohibir la participación de una persona si se sospecha de fraude o manipulación, o si la persona incumple cualquier requisito de participación o cualquier disposición de estas Reglas Oficiales. TEC se reserva el derecho de descalificar a cualquier persona de seguir participando en el Sorteo si TEC concluye, a su entera discreción, que dicha persona: (a) ha intentado manipular el proceso de inscripción u otra operación del Sorteo; (b) ha ignorado o ha intentado eludir estas Reglas Oficiales; (c) ha cometido fraude o ha intentado socavar el funcionamiento legítimo del Sorteo; o (d) ha actuado de manera injusta, desigual, molesta, amenazante, perturbadora o acosadora hacia las Partes exoneradas, las filiales o cualquier otro participante. Cualquier intento de socavar el funcionamiento de este Sorteo puede constituir una violación de las leyes penales y civiles. TEC se reserva el derecho de descalificar y/o reclamar daños y perjuicios a cualquier persona que realice tales intentos, en la medida en que lo permita la ley. El hecho de que TEC no haga cumplir cualquiera de estas Reglas oficiales no constituirá una renuncia a dichas Reglas oficiales. Si existe un conflicto entre cualquier término de las Reglas oficiales y cualquier material de marketing o de participación utilizado en relación con el Sorteo, prevalecerán los términos de estas Reglas oficiales.

DIVISIBILIDAD:

Si alguna de las disposiciones de estas Reglas Oficiales se considera inválida o inaplicable, todas las demás disposiciones seguirán siendo plenamente vigentes y efectivas.
